A breach may be material or minor.

  • Material breach of contract. A material breach occurs when one party fails to perform an obligation specified by the contract, and as a result, the other party receives something entirely different from what was specified in the contract. For example, if you have ordered pizzas and you receive sandwiches instead, a material breach has occurred.
  • Minor breach of contract. Unlike a material breach, a minor breach of contract occurs when an obligation of the contract is violated, but the other party still receives the items or service that was specified. For example, if you ordered pizzas and the seller agreed to deliver them by 5:00 p.m. on Wednesday, but you didn’t receive them until 8:00 p.m., then a minor breach of contract has occurred.
